Why would they do this? Rare owns Banjo-Kazooie 100%. If they want to make another sequel, they can simply do so on Xbox 360. They have no reason to go through Nintendo.

The source states Nintendo is negotiating with Microsoft to purchase Rare in order to get the franchise. The second source twists the wording, probably to get hits.

Yes but they have to go through Microsoft instead. They're less likely to green light a Banjo-Kazooie game than Nintendo. Not when Microsoft could earn more money for less effort assigning Rare to Kinect work.

Completely fake. If it was real though(which it's not) it would be like when Rare made that 10 year anniversary Goldeneye 64 remake back in 2007 but couldn't release it because Nintendo told Activision to not allow Microsoft to release it.
